GetAcceptd, LLC (Acceptd) and your organization (Organization) agree to work together as set forth in this Recruitment Network Subscription Terms and Conditions Document (T&C). This subscription will become effective on the date initial payment for the Recruitment Network is made by Organization and remains in effect throughout the usage of the Recruitment Network.
Acceptd agrees to provide access to the Acceptd Recruitment Network as detailed below, which includes:
Recruitment Network Access
Organization will gain access to the Acceptd Recruitment Network during the term of this subscription. This resource is an online database of prospective candidates that Organization can utilize to recruit and market its programs. Organization agrees to abide by ethical recruitment standards and anti-spam laws & standards. Organization may send up to 100 new messages per 24 hours in the Acceptd Recruitment Network, which resets at 12:00AM Greenwich Mean Time (GMT) daily. Additional new messages may be purchased by Organization. Acceptd reserves the right to remove Organization’s access to the Recruitment Network at any time as deemed necessary by Acceptd.
Interest Forms, if desired
Organization will have the ability to utilize Interest Forms to collect basic information from artists who are interested in Organization, so artists always have an action to take when landing on your page, regardless of application windows.
Acceptd Retargeting
Acceptd will identify the artists most interested in Organization and execute retargeting efforts within the Acceptd system in order to nurture them throughout the term of the subscription. For the length of this subscription, Organization’s logo will appear on the dashboard of any artist who has visited Organization’s Acceptd landing page.
Acceptd Directory Presence
Organization will have a landing page in the Acceptd Directory for the length of this subscription. This landing page will be visible and searchable by prospective artists.
If Organization is tax-exempt, Organization will be required to provide a valid and current state sales tax-exempt certificate (United States of America) or purchase exemption certificate (Canada) to Acceptd within 30-days of this subscription going into effect. The form provided should be a state or blanket sales tax exemption form with DBA or business names matching the name of Organization. IRS letters are not considered a sales tax-exemption form. All pricing is subject to applicable sales tax. Forms should be emailed to acceptdtax@togetherwork.com.
Acceptd and Organization agree to the following payment structure:
The annual subscription fee for access to Acceptd’s Recruitment Network is $3,600 USD.
This subscription will automatically renew and charge the credit card or ACH on file on the end date annually, unless either party notifies the other in writing of their desire to terminate the subscription at least 60 days prior to the end date.
Subscriptions are non-refundable.
Acceptd shall defend, indemnify and hold harmless Organization , its affiliates, and its and their respective officers, directors, employees, agents, successors and assigns from and against any and all liabilities, losses, claims, damages, costs and expenses as incurred, to the maximum extent permitted by law (including reasonable attorneys’ fees and any applicable fines or penalties) (collectively, “Losses”) against third-party claims that (a) the platform or Organization’s use of the platform in accordance with this T&C, infringe, misappropriate or otherwise violate or conflict with applicable law or any third-party’s intellectual property rights; and (b) the Acceptd breached its obligations, representations or warranties and Acceptd and/or failed to comply with applicable law.
Organization shall defend, indemnify and hold harmless Acceptd, its affiliates, and its and their respective officers, directors, employees, agents, successors and assigns from and against any and all Losses as incurred, to the maximum extent permitted by law and defend Acceptd against third-party claims that (a) Organization’s use of the platform in violation of this T&C infringes, misappropriates or otherwise violate or conflict with applicable law; and (b) Organization breached its obligations, representations or warranties and/or Organization’s failure to comply with applicable law.
Neither party, nor its affiliates, nor its or their personnel, partners, shareholders, successors or assigns have any liability to the other party or any other person or entity for any consequential, indirect, exemplary, special, or punitive damages arising out of or relating to this T&C, even if advised of the possibility of those damages, and whether arising out of breach of contract, tort or otherwise. In no event will the aggregate liability of either party arising out of or related to the T&C exceed the amount of the fees paid to acceptd during the 12 months immediately preceding the event that gave rise to the claim.
Except for the representations and warranties set forth in this T&C and any orders, both parties disclaim any and all other warranties, express or implied, including any implied warranties of merchantability and fitness for a particular purpose.
Organization may access Acceptd’s online platform in accordance with this T&C, but has no right to review or receive a copy of the object code or source code to the platform under any circumstances. Acceptd solely owns the Intellectual Property in the platform (except for specifically identified third party components). This T&C provides access to Acceptd’s platform as a SaaS cloud-based arrangement, with no license rights.
Each party agrees to comply with all applicable laws, rules and regulations, and to not use the Acceptd Recruitment Network for any illegal or improper purpose, such as illegal discrimination or breach of right of privacy.
GetAcceptd, LLC and Organization agree to all terms set forth in this T&C.
